By accessing our website, placing an order, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Federal Apostille and Notary Processing. Your use of the Services at any time constitutes acceptance of the then-current version of these Terms.

2. Description of Services

Federal Apostille and Notary Processing provides professional document processing services that include, but are not limited to:

• Federal Apostille Services: We hand-deliver your documents to the U.S. Department of State in Washington, D.C. for apostille certification under the Hague Convention
• Embassy Legalization: We facilitate the legalization of documents through foreign embassies and consulates located in the United States
• Document Authentication: We assist with the authentication of documents issued by federal agencies and state authorities
• Certified and Sworn Translation: We provide professional translation services for documents that require apostille or legalization
• Notary Services: We provide notarization services as required for document processing
• Corporate Document Processing: We handle the apostille and authentication of business and corporate documents

We act as your authorized representative and agent to submit documents to the appropriate government agencies and foreign diplomatic missions. The actual apostille is issued by the U.S. Department of State or a state secretary of state, not by our Company.

3. Eligibility

To use our Services, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.

You further represent and warrant that your use of the Services does not violate any applicable law or regulation, and that all documents submitted for processing are genuine, lawfully obtained, and intended for lawful purposes.

4. Account Responsibilities

When you create an account on our website or place an order, you are responsible for:

• Providing accurate, current, and complete information as prompted by our registration or order forms
• Maintaining the confidentiality of your account credentials, including your password
• Restricting access to your account and promptly notifying us of any unauthorized use
• All activities that occur under your account, whether or not authorized by you
• Keeping your contact information up to date so we can communicate with you about your orders

We reserve the right to suspend or terminate your account if we reasonably believe that you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

5. Service Fees and Payment

Our standard service fee is $120 per document (flat rate) for federal apostille processing through the U.S. Department of State. This flat-rate fee includes our professional processing services, hand-delivery of your documents to the U.S. Department of State, and standard return shipping within the United States.

5.1 Additional Fees

Additional fees may apply for the following services and circumstances:

• Government filing fees assessed by the U.S. Department of State, state agencies, embassies, or consulates (these fees are set by the respective government entities and are subject to change without notice)
• Expedited processing or rush services
• International shipping and special delivery options
• Certified or sworn translation services
• Embassy legalization services (fees vary by country)
• Additional copies or duplicate processing

5.2 Payment Terms

Payment is due at the time of order placement. We accept major credit cards, debit cards, and other payment methods as indicated on our website. All prices are quoted in U.S. dollars. You agree to pay all charges at the prices then in effect for any services you purchase, including any applicable taxes and fees.

By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge your payment method for the total amount of your order (including any applicable taxes and other charges). If the payment method cannot be verified, is invalid, or is otherwise not acceptable, your order may be suspended or canceled.

6. Document Submission Requirements

When submitting documents for processing, you agree to the following:

• All documents submitted must be original or certified copies as required by the specific service being requested
• Documents must be legible, undamaged, and in a condition acceptable for government processing
• You must provide complete and accurate information regarding the intended destination country and purpose of the apostille or authentication
• You are solely responsible for determining whether your documents require an apostille, authentication, legalization, or a combination of these services
• We reserve the right to refuse processing of any document that we believe, in our sole discretion, to be fraudulent, altered, damaged beyond usability, or otherwise unsuitable for processing
• Documents submitted in languages other than English may require certified translation before processing can begin

We exercise reasonable care in handling your documents. However, we strongly recommend that you retain copies of all documents before submitting them to us, as original documents may be subject to handling by government agencies beyond our control.

7. Processing Times Disclaimer

While we strive to provide accurate estimates of processing times, all timeframes provided on our website, in communications, or through our customer service representatives are estimates only and are not guaranteed. Actual processing times depend on factors beyond our control, including but not limited to:

• Current processing volumes at the U.S. Department of State and other government agencies
• Government holidays, closures, and staffing levels
• Embassy and consulate processing schedules and appointment availability
• Document completeness and accuracy
• Shipping and delivery variables
• Unforeseen circumstances such as natural disasters, pandemics, government shutdowns, or other force majeure events

We are not liable for any delays in processing caused by government agencies, postal services, shipping carriers, or any other third party. We will use commercially reasonable efforts to keep you informed of the status of your order and any known delays.

8. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, software, and the compilation thereof, is the property of Federal Apostille and Notary Processing or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The "Federal Apostille" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company. You must not use such marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from our website without our express written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FEDERAL APOSTILLE AND NOTARY PROCESSING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Services
• Any conduct or content of any third party related to the Services, including government agencies, embassies, and consulates
• Delays in processing caused by government agencies or other entities beyond our control
• Any loss or damage to documents during shipping or handling by third-party carriers
• Rejection of documents by government agencies or foreign diplomatic missions for reasons beyond our control
• Any unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Federal Apostille and Notary Processing, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; (d) any claim that documents you submitted were fraudulent, altered, or otherwise unlawful; or (e) any claim arising from the use of documents processed through our Services.

• No Legal Advice: Our Services do not include the provision of legal advice. Nothing on our website or in our communications should be construed as legal advice. We do not advise you on the legal requirements of any particular country, the suitability of any document for a specific purpose, or the likelihood of acceptance by foreign authorities. We strongly recommend that you consult with a qualified attorney for any legal questions
• No Guarantee of Acceptance: While we process documents in accordance with standard requirements, we cannot guarantee that your apostilled, authenticated, or legalized documents will be accepted by the intended foreign authority or institution. Requirements may vary by country and institution, and are subject to change without notice
• "As Is" Basis: THE SERVICES AND ALL CONTENT AND MATERIALS ON OUR WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
• Third-Party Actions: We are not responsible for the actions, decisions, or policies of government agencies, embassies, consulates, shipping carriers, or any other third parties involved in the processing or delivery of your documents

12. Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles. You agree that any legal action or proceeding related to these Terms shall be brought exclusively in the federal or state courts located in Orange County, California, and you hereby consent to the personal jurisdiction of such courts.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at (760) 469-2997 or through our website to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute through direct negotiation within thirty (30) days of receiving your notice of dispute.

13.2 Binding Arbitration

If we are unable to resolve a dispute through informal negotiation, either party may elect to have the dispute finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Orange County, California, by a single arbitrator appointed in accordance with the AAA rules. The arbitrator's decision shall be final and binding, and judgment on the award rendered may be entered in any court having jurisdiction thereof.

13.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes to these Terms, we will provide notice by posting the updated Terms on our website with a revised "Last Updated" date and, where appropriate, by sending you a notification. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

15. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Termination of your account or access to the Services shall not relieve you of any obligation to pay any outstanding fees or charges. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law, and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms.

17. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Federal Apostille and Notary Processing with respect to the use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services. No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
